These Terms of Service govern your access to and use of easyfiling.com, our applications, and related services. By using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use our Services.

Eligibility

You must be at least 18 years of age to use our Services.
You must have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.
By using the Services, you represent and warrant that you meet these requirements.

Our Services

EasyFiling provides online business formation, compliance, and document filing support services.
Services may include entity formation, EIN application, registered agent services, annual report filing, and various compliance support.
We are not a law firm, accounting firm, or financial advisory firm. No attorney-client or accountant-client relationship is created.
Information provided is general and should not be considered legal, tax, or financial advice.

Accounts & Security

You must create an account to access certain Services.
You agree to provide accurate and complete information.
You are responsible for maintaining the confidentiality of your login credentials and all activities under your account.
Notify us immediately of any unauthorized access or security breach.

Fees & Payments

Fees are displayed at checkout or in your service order.
Fees must be paid in full before Services begin unless otherwise agreed.
You are responsible for all government filing fees, franchise taxes, postage, and third-party charges.
All payments are non-refundable once processing begins, except as required by law.
Pricing may change but will not affect completed orders.

Government Filings

We prepare and submit documents based solely on the information you provide.
We are not responsible for delays, rejections, or penalties caused by errors or omissions in your information, changes in laws, fees, or government processes, or failures or delays by government agencies.
You are responsible for meeting all compliance deadlines, including annual reports and franchise taxes.

Intellectual Property

All content, logos, trademarks, graphics, and software are owned by EasyFiling or its licensors.
You receive a limited, non-exclusive, non-transferable license to use the Services.
You may not copy, modify, reverse engineer, or create derivative works without written permission.

Prohibited Conduct

Use the Services for unlawful purposes.
Submit false or misleading information.
Infringe intellectual property rights.
Interfere with system security or operations.
Use automated tools (bots, scrapers) without authorization.

Third-Party Services

Services may include links to third-party sites or tools.
EasyFiling is not responsible for third-party content or practices.
Your use of third-party services is at your own risk and subject to their terms.

No Legal, Tax, or Financial Advice

EasyFiling provides self-help filing tools and administrative support only.
We do not provide legal, tax, or financial advice.
You must consult licensed professionals for specific guidance.

Disclaimers

The Services are provided AS IS and AS AVAILABLE without warranties of any kind.
We do not guarantee error-free or uninterrupted Services, accuracy or completeness of information, or acceptance or processing of filings by government agencies.

Limitation of Liability

To the maximum extent permitted by law, EasyFiling is not liable for indirect, incidental, special, or consequential damages, including lost profits.
Total liability is limited to the amount you paid in the previous twelve (12) months.

Indemnification

You agree to indemnify and hold harmless EasyFiling, its officers, employees, contractors, and affiliates from claims, damages, or expenses arising from your use of the Services, violation of these Terms, or violation of any law or third-party rights.

Termination

We may suspend or terminate your account if you violate these Terms.
You may discontinue using the Services at any time.
Termination does not cancel any outstanding payment obligations.

Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware.
Disputes will be resolved by binding arbitration in Dover, Delaware, under the American Arbitration Association rules.
Both parties waive rights to jury trials and class actions.

Changes to These Terms

We may update these Terms at any time. The Last Updated date will reflect changes. Continued use of the Services constitutes acceptance of updated Terms.

Miscellaneous

Entire Agreement: These Terms constitute the full agreement.
Severability: Invalid provisions do not affect the remainder.
Assignment: You may not assign rights or obligations without our written consent.
Waiver: Failure to enforce a provision does not waive future rights.

Refund Policy (7-Day Refund Guarantee)

Eligibility

You may request a full refund within 7 days if your filing or service has not been processed or submitted.

Refund scope

Covers EasyFiling service fees only. It does not cover government fees, third-party fees, or vendor charges.

Exclusions

Once a filing has been submitted to government agencies or third parties, it is non-refundable.

Refund process

Email support@easyfiling.com within 7 days with your order number. Approved refunds are processed within 5–7 business days.

Digital Signature Authorization

By using our Services, you authorize EasyFiling to digitally sign documents, filings, and submissions on your behalf in accordance with the E-SIGN Act; execute required forms and government submissions necessary for purchased services; and treat digital signatures as legally valid and enforceable.

You may revoke authorization by emailing privacy@easyfiling.com, though doing so may limit or terminate service delivery.
