A change of registered agent is a state filing that replaces the person or company authorised to receive legal notices and service of process for your business. You file it with the Secretary of State in your state of formation, and in every additional state where your company is foreign qualified.
You submit your state's change of registered agent form with your entity details, the outgoing agent, and the filing fee. EasyFiling prepares the form, files it on your behalf, and returns the state's stamped confirmation to your dashboard.
Most states process the change in 5 to 10 business days. Several states, including Delaware and Florida, offer same-day or expedited processing, and we will tell you upfront whether yours does.
There are two costs: your state's filing fee, which runs from $0 to roughly $50 depending on the state, and your registered agent's annual service fee. We show you both before anything is filed.
No. You do not need your existing agent's consent to change registered agent, and you do not need to give them notice first. A handful of states ask the incoming agent to sign an acceptance — we take care of that signature.
Only if you have a physical street address in that state and are there during business hours — PO boxes don't qualify. It also puts your home address on the public record and means any lawsuit gets served to you in person, which is why most owners, and nearly all non-residents, appoint a service.
The state can revoke your good standing and eventually dissolve the company administratively. You also stop receiving lawsuits and state notices, which means a default judgment can be entered against you without your knowing.
Yes. If your company is registered in several states, we file the change in each one and keep every registration, deadline, and document under a single dashboard.
Nothing is lost. During onboarding we review your filing history and flag any annual report or franchise tax payment coming due, so nothing lapses while the change is being processed.
Yes. Most of our clients are non-resident owners of US LLCs and corporations. You do not need a US address, a US phone number, or a US presence of your own.
